These Terms & Conditions (“Terms”) govern your access to and use of Stemdesk (“the Service”), a software-as-a-service platform operated by Virtus Ventures LLC (“we,” “us,” or “our”). By creating an account, subscribing to a plan, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Seller identification

The Service is sold and provided by Virtus Ventures LLC. You are entering into a contract with Virtus Ventures LLC for the use of the Service. If you are using the Service on behalf of a business or other legal entity, you represent that you have authority to bind that entity to these Terms.

2. Product description

Stemdesk is an online order, wedding, and lead management desk built for florist shops. Features and availability vary by plan. We may update, improve, or remove features from time to time as we develop the product.

3. Account registration and security

You must provide accurate and complete information when creating an account and keep that information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Please notify us promptly if you suspect unauthorized use.

4. Acceptable use

You agree not to use the Service to:

  • violate any applicable law or regulation;
  • send spam, fraud, or deceptive communications;
  • infringe intellectual property or other rights of third parties;
  • interfere with the security or availability of the Service, including through malware, probing, scraping, or denial-of-service attacks;
  • reverse engineer, decompile, or attempt to discover the source code of the Service;
  • resell, redistribute, or circumvent any technical limits of the Service.

5. Intellectual property

Virtus Ventures LLC retains all ownership and intellectual property rights in the Service, including its software, design, branding, documentation, and content. We grant you a limited, non-exclusive, non-transferable right to access and use the Service during your subscription, subject to these Terms.

You retain ownership of any content you upload or enter into the Service. You grant us a limited license to host, process, and display that content solely for the purpose of providing the Service to you.

6. Payment, billing, and subscriptions

Subscription fees are billed through our online reseller and Merchant of Record, Paddle.com. By subscribing, you authorize Paddle to process payment for your chosen plan and any applicable taxes. Plan fees, billing frequency, renewal, cancellation, and refund terms are governed by Paddle’s Checkout Buyer Terms. We recommend reviewing Paddle’s terms before completing your purchase.

Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. You may cancel at any time from the Billing page inside the Service; cancellation takes effect at the end of your current billing period.

7. Free trial

New subscriptions may begin with a 7-day free trial. At the end of the trial, your subscription will convert to the paid plan you selected and billing will begin unless you cancel before the trial expires. We may request payment details at signup to enable seamless transition after the trial.

8. Refund policy

We offer a 30-day money-back guarantee for new subscriptions. If you are not satisfied with your purchase, you may request a full refund within 30 days of your order date. Refund requests are processed by Paddle. You can request a refund by visiting paddle.net or by contacting our support team at support@stemdesk.co.

9. Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

10. Service level

We aim to keep the Service available and reliable, but we do not guarantee that the Service will be uninterrupted, error-free, or available at all times. Scheduled and emergency maintenance may result in temporary downtime.

11. Warranties and liability

The Service is provided “as is” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. To the fullest extent permitted by law, Virtus Ventures LLC will not be liable for indirect, consequential, incidental, special, or punitive damages, including lost profits, data, or goodwill, arising out of or relating to your use of the Service.

Our aggregate liability for any claim arising out of or relating to these Terms will not exceed the total amount you paid to us for the Service in the 12 months preceding the event giving rise to liability. Nothing in these Terms limits liability for fraud, death, or personal injury where required by law.

12. Indemnity

You agree to indemnify and hold harmless Virtus Ventures LLC and its agents from any claims, damages, losses, or expenses arising out of your content, your use of the Service in violation of these Terms, or your violation of any third-party rights.

13. Suspension and termination

We may suspend or terminate your access to the Service if you materially breach these Terms, fail to pay amounts due, pose a security or fraud risk, or repeatedly or seriously violate our policies. Upon termination, your right to use the Service ends immediately. You remain responsible for any amounts due through the end of the current billing period.

When your subscription ends, we may retain or delete your data in accordance with our Privacy Notice. We encourage you to export any important data before cancellation.

14. Modifications to the terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance.

15. Governing law and dispute resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service will be resolved in the state or federal courts located in Delaware, and both parties consent to the jurisdiction of those courts.

16. General

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. These Terms constitute the entire agreement between you and Virtus Ventures LLC regarding the Service and supersede any prior agreements. We may assign these Terms in connection with a merger, acquisition, or sale of assets. You may not assign these Terms without our prior written consent.
